Terms of Service

Effective September 24, 2026 · Last updated: October 9, 2026

These Terms of Service (“Terms”) are a binding agreement between you and Syntro Solutions LLC governing your use of syntrosolutions.com, including its contact form and its live AI voice demo (the “Site”). By using the Site, submitting the contact form, or starting the voice demo, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Site. If you use the Site on behalf of a business, you represent that you are authorized to accept these Terms for that business, and “you” includes that business. You must be at least 18 years old to use the contact form or the voice demo.

1. What these Terms cover

1.1. These Terms govern the Site. When a business hires Syntro, the work is governed by the signed proposal, order form, or Statement of Work, together with our Master Services Agreement and Billing Terms Addendum (together, “Your Agreement”). If these Terms and Your Agreement conflict, Your Agreement controls.

1.2. If you purchase managed website hosting without signing Your Agreement, §3 and §11 through §16 of these Terms govern that service.

2. Our services

2.1. Syntro builds and runs technology for small and mid-size businesses:

  • AI voice assistant: an AI receptionist that answers calls, answers questions, and books appointments;
  • Lead follow-up: systems that re-contact leads;
  • Website design: custom websites built to load fast and turn visitors into calls and bookings;
  • Managed website hosting and security; and
  • Custom technology solutions: connections that move information between your tools, and custom software, scoped to a specific problem.

2.2. Descriptions on the Site are general information, not an offer. Scope, price, timeline, and deliverables are set in Your Agreement.

3. Managed website hosting

  • Price. Managed hosting is $97 per month unless Your Agreement states a different price. We may change the price by giving you at least 30 days' written notice; the new price applies from the first billing month after the notice period, and you may cancel before it takes effect.
  • What is included. Hosting on Cloudflare's network with SSL/TLS encryption, DDoS mitigation, a firewall, bot protection, DNS management, threat monitoring, a monthly legal review, and up to 60 minutes of website edits per month. Unused minutes do not carry over. Edits beyond 60 minutes are quoted before we do them.
  • Monthly legal review. Each month we compare the Privacy Policy and Terms we publish on your site with what the site collects, loads, and offers, and we update those pages when they no longer match. The review keeps those pages aligned with how your site works. It does not replace your own attorney, and you remain responsible for your business's legal obligations.
  • Billing. Hosting is billed in advance on the 1st of each month and renews monthly until cancelled. A plan that starts mid-month is prorated for that month.
  • Cancelling. You may cancel at any time by written notice, including by email to ty@syntrosolutions.com. Cancellation takes effect at the end of the current billing month, and there is no refund for a partial month.
  • Uptime. We restore service as quickly as reasonably possible after an interruption. No uptime guarantee applies unless it is in a separate signed service-level agreement.
  • Your content. You are responsible for the content, products, and claims on a website we host for you, and for complying with our Acceptable Use Policy. We may suspend hosting of content that is unlawful, infringing, or harmful, after notice to you where practical.

4. Website design projects

The pages, features, number of revisions, price, and payment schedule of a website project are set in Your Agreement. You keep ownership of the content you give us, such as your logo, photos, and text, and you represent that you have the right to let us use it. Ownership of the finished design and code, and what happens to the site if hosting ends, are set out in Your Agreement.

5. AI voice assistant and follow-up services

  • Fees. The voice assistant has a one-time setup fee, a monthly fee, and a per-minute usage charge, at the rates in Your Agreement. Usage is charged through the date service is disconnected.
  • AI can be wrong. The assistant uses artificial intelligence. It can misunderstand a caller, give an incomplete or inaccurate answer, or fail to complete a booking. You remain responsible for decisions made from its output and for reviewing important calls.
  • Recording, AI disclosure, and consent. Calls may be recorded and transcribed. You are responsible for telling callers that they are speaking with an AI agent and that the call is recorded, and for obtaining any consent the law requires where you and your callers are located, including in states that require every party's consent to recording.
  • Outbound calls and texts. If you use our services to place calls or send text messages, you are responsible for complying with the Telephone Consumer Protection Act, the Federal Communications Commission's rules, carrier requirements, and state telemarketing laws, including obtaining any prior express written consent those laws require, honoring opt-out requests, and observing do-not-call lists and calling-hour limits. You will defend and indemnify Syntro against claims arising from calls or messages sent on your behalf or at your direction.
  • Retention. Call recordings, transcripts, and related logs are kept for up to 90 days unless Your Agreement says otherwise, as described in our Privacy Policy.

6. The live voice demo on this website

  • The demo is an AI receptionist, not a person, for a sample business, “Syntro Roofing.” It is for trying the technology only.
  • The demo call is recorded and transcribed. By starting a demo, you consent to that recording. Recordings and transcripts are kept for 90 days.
  • Do not share sensitive personal information, such as health, financial, or account details, during the demo.
  • Calls end after about two minutes, and the number of demos per visitor is limited. Do not use scripts, bots, or repeated calls to get around that limit.
  • Nothing the demo says is a quote, promise, or advice from Syntro.

7. Contact form and communications

7.1. When you send the contact form, give accurate information and only information you are allowed to share. Sending the form does not create a contract.

7.2. By sending the form, you agree that Syntro may contact you by telephone call or email at the contact details you provide, about your inquiry. You agree that notices and records we send you electronically satisfy any requirement that they be in writing, except where the law requires another form of delivery.

7.3. Text messages. Syntro Solutions texts you from (216) 516-1418 only if you checked the text consent box on our booking form or contact form. Messages are about your inquiry, a call you booked and your project, such as booking confirmations, reminders before a call, schedule changes, questions and updates. Message frequency varies. Msg & data rates may apply. Reply HELP for help or STOP to opt out at any time. You can also reach us at ty@syntrosolutions.com. Consent to texts is not a condition of purchase. Carriers are not liable for delayed or undelivered messages. Mobile telephone numbers and text-message opt-in data will not be shared or sold to third parties, affiliates, or lead generators for marketing or promotional purposes. We disclose them only to the service providers that help us respond to you, as described in our Privacy Policy.

8. Acceptable use of the website

You may not:

  • (a) attack, probe, overload, or interfere with the Site, its forms, or the voice demo;
  • (b) send spam, malicious code, or submissions by bots or scripts;
  • (c) copy or scrape the Site's content for commercial use;
  • (d) submit another person's information without authority; or
  • (e) use the Site to break any law or violate anyone's rights.

We may block or suspend access that breaks these rules.

9. Our content and copyright complaints

9.1. The Site's text, graphics, logo, and code belong to Syntro Solutions LLC or its licensors and are protected by copyright and trademark law. You may view and share Site pages for personal or internal business use. Any other copying requires our written permission.

9.2. If you believe material on the Site, or on a website Syntro hosts, infringes your copyright, send a written notice to ty@syntrosolutions.com that includes: your physical or electronic signature; identification of the copyrighted work; identification of the material you claim is infringing and where it appears; your contact information; a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and a statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act for the owner. We will review the notice and, where appropriate, remove or disable access to the material and notify the site owner. We may terminate hosting for repeat infringers.

10. Third-party services

The Site relies on outside providers, including Cloudflare, Cal.com, Twilio, Retell AI, LiveKit, Supabase, Resend, HubSpot, and Google Fonts. Their own terms and privacy notices apply to what they do. We are not responsible for services we do not control.

11. Disclaimers

THE SITE AND THE VOICE DEMO ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, SYNTRO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. SYNTRO DOES NOT GUARANTEE ANY BUSINESS RESULT, SUCH AS MORE CALLS, LEADS, BOOKINGS, OR REVENUE. Any warranty for paid services is the one in Your Agreement.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SYNTRO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM THE SITE, THE VOICE DEMO, OR ANY SERVICE GOVERNED BY THESE TERMS. SYNTRO'S TOTAL LIABILITY FOR ALL CLAIMS ABOUT THE SITE AND THE VOICE DEMO IS LIMITED TO ONE HUNDRED DOLLARS ($100), AND FOR ANY SERVICE GOVERNED BY THESE TERMS UNDER §1.2, TO THE FEES YOU PAID SYNTRO FOR THAT SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Liability for services under Your Agreement is governed by Your Agreement. These limits do not apply where the law prohibits them.

13. Indemnification

You will defend, indemnify, and hold harmless Syntro and its members, employees, and agents from third-party claims, losses, and expenses, including reasonable attorneys' fees, arising from your breach of these Terms, your content, or your violation of any law or third-party right.

14. Governing law and disputes

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-laws rules. Any dispute arising from these Terms or the Site will be resolved exclusively in the state or federal courts located in Cuyahoga County, Ohio, and you and Syntro consent to the personal jurisdiction of those courts. Before filing a claim, each party will first try in good faith to resolve the dispute informally by written notice.

15. Changes

We may update these Terms by posting the updated version on the Site and changing the “Last Updated” date above. The version posted when you use the Site applies to that use. A change does not apply to a dispute that arose before the change was posted, and a change to hosting prices follows the notice rule in §3.

16. General

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Syntro about the Site. Your Agreement, where one exists, governs paid services.
  • Severability. If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions remain in full force and effect.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms without our written consent. We may assign them to a successor to our business.
  • Force majeure. Neither party is liable for a delay or failure caused by events beyond its reasonable control, such as outages of third-party networks, natural disasters, or acts of government.
  • Survival. Sections 9 and 11 through 16 survive any termination of your use of the Site.
